Terms and Conditions for Agrovia

1. Introduction

Welcome to Agrovia ("we," "our," or "us"), an online marketplace platform connecting agricultural suppliers with buyers. These Terms and Conditions ("Terms") govern your access to and use of the Agrovia website (agrovia.co), services, applications, and tools (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Services.

2. Definitions

• "Platform" refers to the Agrovia website, mobile applications, and related services.
• "User" refers to any individual or entity that accesses or uses the Platform, including Suppliers and Customers.
• "Supplier" refers to farmers, agricultural producers, and sellers who list products on the Platform.
• "Customer" refers to individuals or entities purchasing products through the Platform.
• "Content" refers to all information, text, images, data, links, software, or other material that is posted on, contained in, or accessible through the Platform.

3. Account Registration

3.1 Registration Requirements

To use certain features of our Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. Platform Usage

4.1 General Conduct

You agree to use the Platform in compliance with all applicable laws and regulations. You shall not:

• Use the Platform for any illegal purpose
• Violate any third-party rights
• Interfere with or disrupt the Platform's operations
• Attempt to gain unauthorized access to any part of the Platform
• Use the Platform to transmit any viruses, malware, or other harmful code
• Engage in any fraudulent activity

4.2 Content Guidelines

You are solely responsible for any Content you post, upload, or otherwise make available on the Platform. You represent and warrant that:

• You own or have the necessary rights to the Content you provide
• The Content does not infringe upon the intellectual property rights of any third party
• The Content is accurate, complete, and not misleading
• The Content complies with all applicable laws and regulations

We reserve the right to remove any Content that violates these Terms or that we deem inappropriate.

5. Marketplace Transactions

5.1 Listing and Product Information

Suppliers are responsible for providing accurate, complete, and up-to-date information about their products, including descriptions, prices, quantities, quality, and availability. Agrovia does not verify the accuracy of listing information and makes no warranties regarding the quality, safety, or legality of products.

5.2 Pricing and Payments

5.2.1 Platform Fees

Suppliers agree to pay Agrovia a platform fee of 7% of the transaction value for each completed sale. This fee will be automatically deducted from the payment before it is released to the Supplier.

5.2.2 Transaction Costs

Customers are responsible for covering all transaction costs associated with their purchases, including but not limited to payment processing fees and applicable taxes.

5.2.3 Escrow Service

All payments made through the Platform are held in escrow until the transaction is completed to the satisfaction of both parties. The escrow service provides protection for both Customers and Suppliers.

5.2.4 Payment Release

Funds will be released to Suppliers only after:

• The Customer has received the products and confirmed their satisfaction, or
• A predetermined escrow period has elapsed without a dispute being raised by the Customer, or
• A dispute has been resolved in favor of the Supplier.

5.2.5 Currency

All payments and fees on the Platform are processed in the local currency as specified on the Platform.

5.3 Order Fulfillment and Delivery

5.3.1 Supplier Obligations

Suppliers are responsible for:

• Accurately representing their products
• Maintaining sufficient inventory to fulfill orders
• Packaging products appropriately for shipping
• Shipping products in a timely manner
• Providing tracking information when available

5.3.2 Delivery Issues

Suppliers are responsible for addressing delivery issues, including lost, damaged, or delayed shipments. Agrovia is not responsible for any issues related to product delivery.

5.4 Returns and Refunds

5.4.1 Return Policy

Return policies must be clearly stated by Suppliers in their listings. In the absence of a specific return policy, Agrovia's standard return policy will apply, which allows for returns within 7 days of delivery for products that are significantly different from their description.

5.4.2 Refund Process

If a return is accepted, the refund will be processed through the Platform's escrow system. The refund amount may be reduced by return shipping costs and a restocking fee, if applicable and clearly communicated in the Supplier's return policy.

5.5 Dispute Resolution

5.5.1 Dispute Filing

Customers may file a dispute if:

• The product received is significantly different from its description
• The product is damaged upon arrival
• The product was not delivered within the specified timeframe

5.5.2 Resolution Process

Agrovia will mediate disputes between Customers and Suppliers. Both parties must provide relevant information and evidence to support their claims. Agrovia reserves the right to make a final decision regarding the resolution of any dispute.

6. Intellectual Property Rights

6.1 Platform Content

All Content provided by Agrovia, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Agrovia or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.

6.2 Limited License

Agrovia grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform and its Content for personal, non-commercial purposes. You may not:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Content obtained from the Platform
• Use any data mining, robots, or similar data gathering and extraction methods
• Download any Content except as explicitly authorized by the Platform

6.3 User Content

By submitting, posting, or displaying Content on the Platform, you grant Agrovia a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, modify, publish, and distribute such Content for the purpose of providing and promoting the Services.

7. Privacy and Data Protection

7.1 Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

8. Limitation of Liability

THE PLATFORM AND ITS SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGROVIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM
• ANY CONTENT OBTAINED FROM THE PLATFORM
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

8.3 Cap on Liability

IN NO EVENT SHALL AGROVIA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO AGROVIA, IF ANY, FOR ACCESSING OR USING THE PLATFORM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

9. Indemnification

You agree to defend, indemnify, and hold harmless Agrovia, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform, your Content, or your violation of these Terms.

10. Termination

10.1 Termination by You

You may terminate your account at any time by following the instructions on the Platform or by contacting us.

10.2 Termination by Agrovia

Agrovia may terminate or suspend your access to and use of the Platform, at our sole discretion, at any time and without notice to you, for any reason, including if we believe that you have violated these Terms.

10.3 Effect of Termination

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on the Platform. Your continued use of the Platform after such notification constitutes your acceptance of the modified Terms.

12. Governing Law and Jurisdiction
